Permitted Use Policy

1. Introduction

This Permitted Use Policy (the “PUP”) is an integrated part of the Master Services Agreement and the Individual Order(s) between Doodle and Customer and sets out complementary terms and conditions governing Customer’s (and Customer’s Affiliates’) and Authorized Users’ access and use of the Services under the Individual Order(s).

Terms defined in the Master Services Agreement and the Individual Orders have the same meaning in the PUP.

Doodle is free to unilaterally amend the PUP from time to time. Doodle will inform Customer about any changes to the PUP thirty (30) days before such changes enter into force. If Customer does not agree with the changes, Customer may terminate the Master Services Agreement for convenience in accordance with its Terms.

Customer shall inform its Affiliates as well as all Authorized Users in text form in advance (i.e. prior to their first use of the Services) about the content, the requirements and restrictions under this PUP (and changes thereto) and require them to comply at all times with the content, requirements and restrictions under this PUP (and changes thereto). 

Without limiting any rights or remedies available under the Master Services Agreement and Individual Orders, Doodle may, at any time and without liability to Customer (as well as Customer’s Affiliates and Authorized Users, guests, third parties, etc.) suspend, restrict, modify, or terminate (temporarily or permanently) Customer’s (as well as Customer’s Affiliates’, Authorized Users’, guests’, third parties’, etc.) access to the Services if Doodle has reason to believe that Customer (and/or Customer’s Affiliates and Authorized Users, guests, third parties, etc. ) violates or has violated this PUP.

1.1 Legal Age

Customer represents and warrants that all Authorized Users are of legal age and that each user to whom Authorized Users send an invitation also meets the requirements of this PUP.

Customer may use the Services only if the foregoing statements are true. Customer is responsible for the acts and omissions of its Affiliates, Authorized Users as well as of all guests or third parties to whom Authorized Users send invitations.

1.2 Doodle’s rules apply

To ensure the safe and proper use of the Services, Customer (as well as Customer’s Affiliates, Authorized Users, guests, third parties, etc.) must comply with this PUP and with any other applicable policies established by Doodle or by third-party service providers, as identified by Doodle and informed by Doodle from time to time at its discretion.

If Customer (as well as Customer’s Affiliates and Authorized Users) becomes aware of any inappropriate behavior or content on the Services, Customer shall report this to Doodle without delay.

2. Basic rules

2.1 Customer must comply with the Master Services Agreement and the Individual Order(s) at all times and shall ensure and is responsible that Customer’s Affiliates as well as all Authorized Users (including guests or third parties to whom Authorized Users send invitations) at all times comply with this PUP.

2.2 Customer must comply with all applicable laws and regulations, including, without limitation, intellectual property laws, data protection and export control laws, and any regulations issued by governmental authorities that apply to Customer’s use of the Services. For example and without limiting the generality of the foregoing, Customer shall convey the requisite information to, and/or procure necessary consents from (as the case may be), Customer’s Affiliates, Authorized Users and/or other persons (including guests or third parties to whom Authorized Users send invitations) whose data is used or otherwise processed in connection with the Services, and shall ensure that Customer (as well as Customer’s Affiliates, Authorized Users, etc.) is permitted to use and process such data and to disclose it to Doodle, and that all required regulatory approvals and authorizations have been obtained. Furthermore, Customer shall ensure and is responsible that Customer’s Affiliates as well as all Authorized Users (including guests or third parties to whom Authorized Users send invitations) comply with all applicable laws and regulations, including, without limitation, intellectual property laws, data protection and export control laws, and any regulations issued by governmental authorities that apply to their use of the Services.

2.3 Customer must treat its password and all other login credentials as confidential. Customer shall ensure and is responsible that all Authorized Users (including guests or third parties to whom Authorized Users send invitations) treat their respective password and login credentials as confidential.

2.4 Customer is responsible for monitoring and controlling all activities carried out through Customer’s account in connection with the Services.

2.5 Customer must inform Doodle if Customer (as well as Customer’s Affiliates and/or any Authorized User) becomes aware of, or has reason to believe that, any illegal or unauthorized activities are taking place in connection with Customer’s account, or that data security is at risk, including in cases of loss, theft, or unauthorized disclosure or use of a username, password, or account.

2.6 Customer must comply in all respects with all applicable terms and conditions governing the use of third-party applications, including integrations. Furthermore, Customer shall ensure and is responsible that Customer’s Affiliates as well as all Authorized Users (including guests or third parties to whom Authorized Users send invitations) comply in all respects with applicable terms and conditions governing the use of third-party applications, including integrations.

2.7 Doodle reserves the right, but is not obligated, to review, filter, reject, or delete content or accounts within the Services.

3. Prohibitions

3.1 When using the Services, Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall not represent itself as another person or entity, including an “administrator”, “owner”, or other Authorized User, and shall not provide any false or misleading information about its (their) the relationship with any person, entity, or company.

3.2 Customer shall not give anyone else access to its assigned account, including by sharing or transferring it.

3.3 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall not deliberately disrupt or interrupt the Services, or any server, computer, or database connected to the Services, in any manner.

3.5 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall not use the Services to store or transfer information if doing so would infringe third-party rights, including trademarks, copyrights, or other intellectual property rights, or otherwise violate applicable law.

3.6 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall not use the Services to upload or transmit any data, files, software, or links that contain viruses, Trojans, worms, or other harmful components, or that download, transmit, or access illegal content or data, or access any content or data stored in the Services or on Doodle’s or any third party’s hardware without authorization.

3.7 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall refrain from attempting to reverse-engineer, decompile, hack, deactivate, obstruct, disassemble, modify, copy, translate, or otherwise interfere with the characteristics, functionality, integrity, or performance of the Services (including any mechanisms used to restrict or control the Services), the use of the Services by third parties, or any third-party data contained therein, to the extent permitted by law.

3.8 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall refrain from attempting to gain unauthorized access to the Services or to any systems or networks connected to the Services, or from overriding, undermining, circumventing, removing, deactivating, or otherwise rendering ineffective any software protection or monitoring mechanisms.

3.10 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall not use the Services in any manner that could harm other users or minors.

3.11 Customer (as well as Customer’s Affiliates, Authorized Users, etc.) shall use only Doodle’s supported interfaces to access the Services and to create accounts. Activities such as scraping or the simultaneous creation of a large number of accounts are prohibited.

4. Governing Law and Arbitration

4.1. For the avoidance of doubt, section 16.1 of the Master Services Agreement (“Governing Law and Arbitration”) applies to the PUP.
